Thinking Dynamics LLC ("Company," "Provider," "we," "us," or "our") is committed to protecting the privacy and security of the personal and business information of its clients and users.

This Privacy Policy explains how we collect, use, disclose, and protect information in connection with our PRISMA ERP software platform and related services (the "Services").

By accessing or using the Services, you acknowledge that you have read and understood this Privacy Policy.

1. Information We Collect

We may collect the following categories of information:

1.1 Information Provided by Clients

• Name, email address, phone number
• Company name and business information
• Login credentials and account-related data
• Communications submitted via email, forms, or support channels

1.2 Business and Operational Data

• Data entered into the PRISMA ERP platform by the Client
• Operational, financial, inventory, project, or workforce data uploaded or generated through use of the Services

1.3 Payment Information

Thinking Dynamics LLC does not store or process payment card information directly.

All payment transactions are handled by authorized third-party payment processors (such as Stripe), in accordance with their respective privacy and security standards.

2. How We Use Information

We use the collected information solely for legitimate business purposes, including:

• Providing, operating, and maintaining the Services
• Implementing onboarding, training, consulting, and support
• Managing subscriptions, billing, and account administration
• Communicating with Clients regarding the Services
• Improving functionality, performance, and user experience
• Complying with legal and regulatory obligations

We do not sell or rent personal data to third parties.

3. Data Ownership

All data uploaded or generated by the Client through use of the Services ("Client Data") remains the property of the Client. The Provider processes Client Data solely for the purpose of delivering the Services and in accordance with the applicable Subscription Agreement.

4. Data Sharing and Disclosure

We may share information only in the following circumstances:

• With trusted third-party service providers that support our operations (e.g., hosting providers, payment processors), subject to confidentiality and security obligations
• When required by law, regulation, court order, or governmental authority
• To protect the rights, property, or safety of the Company, Clients, or others

5. Data Security

We implement commercially reasonable administrative, technical, and organizational measures designed to protect information against unauthorized access, disclosure, alteration, or destruction. However, no system can be guaranteed to be 100% secure, and we cannot warrant absolute security.

6. Data Retention

We retain Client Data for as long as necessary to provide the Services and comply with legal obligations. Upon termination of the Subscription Agreement, Clients may request a data export within the timeframe specified in the Agreement. After such period, Client Data may be permanently deleted in accordance with our data retention practices.

7. Client Responsibilities

Clients are responsible for:

• Maintaining the confidentiality of their login credentials
• Ensuring that data uploaded to the Services is accurate and lawfully obtained
• Complying with applicable data protection laws related to their use of the Services

8. Cookies and Analytics

We may use cookies or similar technologies to support platform functionality, security, and analytics. These tools do not collect sensitive personal information and are used solely to improve the Services.

9. Children's Privacy

The Services are intended for business use only and are not directed to individuals under the age of 18. We do not knowingly collect personal information from minors.

10. Changes to This Privacy Policy

We reserve the right to update this Privacy Policy from time to time. Any changes will be posted on our website with an updated Effective Date. Continued use of the Services after such changes constitutes acceptance of the revised Policy.

REFUND & CANCELLATION POLICY

This Refund & Cancellation Policy applies to all customers ("Client") who purchase subscription-based services from Thinking Dynamics LLC ("Provider") through its PRISMA ERP software platform.

By completing a payment and using the Services, the Client acknowledges and agrees to the terms set forth below.

1. No Refund Policy

All payments made to Thinking Dynamics LLC are non-refundable.

Due to the nature of the Services, the Provider incurs significant upfront costs immediately upon subscription activation, including but not limited to:

• Business process analysis and mapping
• System configuration and environment setup
• Allocation of consulting, development, and support resources
• Onboarding preparation and training activities

As such, no refunds are provided for subscription fees, onboarding fees, implementation services, or any other amounts paid, regardless of usage level, business outcomes, or changes in the Client's internal circumstances.

2. Evaluation Period and Cancellation Without Penalty

The subscription includes an initial Evaluation Period, as defined in the Subscription Agreement, which is primarily based on the completion of the Client's onboarding and training process.

2.1 Cancellation After Onboarding Completion

The Client may request cancellation of the Services only upon completion of the onboarding process, which consists of four (4) onboarding and training sessions, provided that such request is submitted in writing immediately following completion of said sessions.

If cancellation is requested in accordance with this section:

- No early termination penalty shall apply;
- The subscription will be terminated at the end of the current billing cycle;
- No refunds will be issued for any payments already made.

3. Cancellation After the Evaluation Period (Early Termination)

If the Client completes the onboarding process and does not submit a timely cancellation request, any subsequent request to cancel the subscription shall be considered an early termination.

In such cases:

- Early termination fees may apply in accordance with the Subscription Agreement;
- The Client remains responsible for payment of all amounts due for the remaining portion of the subscription term, calculated on a prorated basis as set forth in the Agreement;
- Access to the Software may be suspended or terminated upon completion of the cancellation process.

4. How to Submit a Cancellation Request

All cancellation requests must be submitted in writing to the Provider at:

Cancellation requests must include:

• Company name
• Authorized contact person
• Reason for cancellation
• Requested effective date of termination

Verbal requests, chargebacks, or payment disputes do not constitute valid cancellation requests.

5. Billing Disputes and Resolution

Thinking Dynamics LLC is committed to resolving billing questions and concerns in good faith.

Clients are strongly encouraged to contact the Provider directly prior to initiating any chargeback or payment dispute. Many billing matters can be resolved promptly through direct communication.

Initiating a chargeback without first contacting the Provider may delay resolution and may result in temporary suspension of Services.

6. Acknowledgment of Subscription Charges

By completing a payment, the Client acknowledges and agrees that:

- They are purchasing a recurring subscription-based software service;
- Charges are intentional, authorized, and automatic;
- Subscription fees will be billed on a recurring basis unless properly cancelled in accordance with this Policy and the Subscription Agreement;
- This Refund & Cancellation Policy has been reviewed and accepted.

7. Policy Updates

Thinking Dynamics LLC reserves the right to modify this Refund & Cancellation Policy at any time. Any changes will be posted on the Provider's website or communicated to Clients as required by applicable law.
